Description:

This course will focus on transactions involving majority and minority owners of closely-held businesses. Significant stress will initially be put on learning about the formation and operation of Limited Liability Companies. Thereafter most classes will be built around discussion problems on (i) governance; (ii) ownership allocation; (iii) financing, and (iv) acquisitions. A variety of agreements will be examined, including LLC operating agreements, buy-sell agreements; loan agreements and acquisition agreements.

Prerequisites:

All registrants should have successfully completed the class on Business Associations. If the class limit of 20 students has not been reached consideration will be given to students taking Business Associations concurrently with this class.
