Description:

With the recent corporate scandals at such major corporations as Enron, Tyco, and WorldCom, corporate governance issues are now more pertinent than ever. This seminar considers a number of topics in U.S. corporate governance today: the role and responsibilities of directors, management, accountants, and lawyers in corporate governance; executive compensation; the market for corporate control; shareholder activism, with particular emphasis on institutional investors; implications of the growth of multinational corporations for corporate governance; and the responsibility of the corporation to other constituency groups, including employees, consumers, and society at large.
