| This course will focus on transactions involving majority and minority owners of closely-held businesses, including family-owned and non-family owned. To reflect current reality in today's practice of business law the material will emphasize Limited Liability Companies as much as Corporations. Most classes will be built around discussion problems on (i) governance; (ii) ownership allocation; and (iii) financing and acquisitions. A variety of agreements will be examined including LLC operating agreements; corporation shareholder agreements; buy-sell agreements; commercial loan agreements; and business acquisition agreements. The last two mentioned agreements will introduce key components such as representations and warranties, covenants, closing conditions, default and acceleration provisions, and indemnification clauses. |
