Scott A. Baker
Professor of Law and Associate Dean for Faculty Affairs
(Corporate Finance, Law & Economics and Contracts)

B.A., 1994, Miami University (OH); J.D., 2000, University of Chicago; Ph.D., 2001, University of North Carolina at Chapel Hill. Baker clerked for Judge E. Grady Jolly of the Fifth Circuit Court of Appeals. his research interests lie at the intersection of law, economics, and game theory. Baker's co-written work has appeared in the Journal of Law, Economics and Organization and the Vanderbilt Law Review. A member of the California Bar, Baker joined the faculty at the University of North Carolina in 2002. He teaches law and economics, corporate finance, and contracts.

Lissa Lamkin Broome
Wachovia Professor of Banking Law and Director, Center for Banking and Finance
(Banking, Securitization and Commercial Law)

B.S., 1978, with highest honors, University of Illinois; J.D., 1981, cum laude, Harvard Law School. Broome is a member of the American Law Institute. She lectures frequently on banking regulation. In addition to directing the School of Law 's Center for Banking and Finance, she serves as a faculty advisor for the North Carolina Banking Institute Journal.

Caroline Nicholson Brown
Professor of Law
(Commercial Law and Contracts)

B.A., 1969, University of California at Berkeley, Phi Beta Kappa; M.A., 1972, with high honors, University of Rochester; J.D., 1976, magna cum laude, University of Miami. Brown is the author of volume 4 of the revised addition of Corbin on Contacts, which addresses the statute of frauds. She served on the drafting committee of the N.C. General Statutes Commission to revise UCC Article 5 and Article 9, and has lectured frequently on revised 9 of 9of the Uniform Commercial Code.

Donald F. Clifford, Jr.
Professor Emeritus
(Commercial Law and Consumer Law)

A.B., 1957, magna cum laude, Catholic University; J.D., 1963, University of Colorado. Clifford has lectured at various continuing legal education institutes on security investment in ivestment property, default and enforcement under revised Article 9, and the Fair Credit Reporting Act. He served on the drafting committee to review UCC Article 8. He is an active participant in the American Bar Association's Business Law Section committees dealing with electronic commerce and ADR.

Adam Feibelman
Associate Professor of Law
(Consumer Law, Commercial Law, Contracts)

B.A., 1992, Wesleyan University; J. D., Yale Law School. Feibelman clerked for Judge Gilbert S. Merritt of the United States Court of Appeals for the Sixth Circuit. Before joining the law school, he was an assistant professor at the University of Cincinnati College Of Law and a Bigelow Fellow at the University of Chicago Law School. His primary teaching and research interests include contracts, commercial law, banking regulation, consumer protection, and bankruptcy.

S. Elizabeth Gibson
Burton Craige Professor of Law
(Bankruptcy, Federal Jurisdiction and Civil Procedure)

B.A., 1972, Duke University; J.D., 1976, The University of North Carolina at Chapel Hill. Gibson has lectured on consumer aspects of bankruptcy reform legislation, the impact of state court proceedings on bankruptcy, sovereign immunity, and the organization and jurisdiction of the bankruptcy courts. She Authored the Federal Judicial Center's publication, Case Studies of Mass Tort Limited Fund Class Action Settlements and Bankruptcy Reorganizations.

Thomas L. Hazen
Cary C. Boshamer Distinguished Professor of Law
(Securities Regulation and Corporate Law)

B.A., 1969, Columbia University; J.D., 1972, Columbia Law School. Hazen's writings have been concentrated in the areas of corporate, securities and commodities law. For nine years, Hazen served on drafting committees to revise the North Carolina nonprofit and business corporations acts. He is currently on a drafting committee to revise the North Carolina Partnership Act. Hazen also frequently speaks at continuing education programs, and has testified as an expert witness in securities fraud litigation.

Melissa B. Jacoby
George R. Ward Professor of Law
(Bankruptcy and Commercial Law)

B.A., J.D., University of Pennsylvania. Jacoby's research interests include all aspects of business and personal bankruptcy, medical-related financial distress, indebtedness as a structural determinant of health, and the role of the news media in legal development. She is a member of the American Law Institute, secretary of the National Bankruptcy Conference, secretary/treasurer of the Association of American Law Schools Section on Financial Institutions and Consumer Financial Services, and consultant to the Advisory Committee on Bankruptcy Rules of the Judicial Conference of the United States. Before entering academics, Professor Jacoby was counsel to the National Bankruptcy Conference and a senior staff attorney for the National Bankruptcy Review Commission.

Kimberly D. Krawiec
Professor of Law
(Securities Regulation, Corporate Finance and Corporate Law)

B.A., 1987, North Carolina State University; J.D., 1992, Georgetown University. Krawiec has published articles on a variety of topic related to securities and derivatives regulation, with an emphasis on insider trading, "rogue" trading and behavioral finance. She was the 1999 recipient of The Corporate Practice Commentator's Best Corporate and Securities Law Articles award. She has been a commentator for the Central and East European Law Initiative (CEELI) of the American Bar Association since 1997, and commented on the draft securities laws for the Republic of Bulgaria and the Ukraine. She is also on the faculty of the National Association of Securities Dealers Institute for Professional Development at the Wharton School of Business.

Saule T. Omarova
Assistant Professor of Law
(International Banking and International Business Transactions)

Diploma, Moscow State University, Ph.D, University of Wisconsin, J.D., Northwestern University School of Law. Prior to joining the UNC School of Law faculty in 2007, Omarova practiced law in the Financial Institutions Group of Davis Polk & Wardwell, where she worked on corporate transactions and advisory work in the area of banking law and financial sector regulation.  In 2006 - 07, she served at the U.S. Treasury as a Special Advisor for Regulatory Policy to the Under Secretary for Domestic Finance, focusing on strategic issues in the financial sector regulatory reform and U.S. capital markets competitive news.
