This course examines key legal aspects of corporate financing decisions. It analyzes various types of financial instruments (including common and preferred stock, corporate debt, and other financial instruments) which a modern corporation might use to raise capital or otherwise finance its business activities, and the rights and claims of various stakeholders in a corporation. As part of the foregoing discussion, the course will briefly cover basic principles of accounting and valuation.

Strongly recommended: Business Associations.

Recommended: Securities Regulation.

These courses may be taken concurrently with Corporate Finance.
