This seminar invites students to explore the role of financially distressed corporation in society and to consider how various stakeholders fare when companies restructure their obligations in the federal bankruptcy system. In recent years, the seminar has included examination of the role of judicial discretion, "prepackaged" chapter 11 cases, airlines, the use of chapter 11 to address mass tort liabilities, and exploration of various normative theories of and empirical studies of corporate bankruptcy.


Completion of the basic bankruptcy course is a prerequisite. Concurrent enrollment in bankruptcy does not suffice. Students who have not previously taken bankruptcy may not register for Corporate Reorganization without the instructor's express written permission.
