It emphasizes issues that are peculiar to, or especially prevalent in, the formation and enforcement of international contracts.It also considers the advantages and disadvantages of various forms of doing business internationally - through agencies and distributorships, licensing agreements, franchising, joint ventures, and the establishment of branches or subsidiaries - and the impact of government regulation of private transactions both on the national and international level. Omarova section: This course will provide an overview of the selected legal issues arising in cross-border business transactions between private actors. It will explore a number of areas of international business, including international sales of goods and services, foreign direct investment, international trade regulation, and extraterritorial application of U.S. laws and regulations (with the focus on anti-corruption laws, corporate compliance issues, and economic sanctions and export controls).
